Acceptance of Terms of Use

Welcome to the website for Chronis. These Website Terms of Use (these "Terms of Use") govern your access to and use of getchronis.com, chronis.app, and any related websites, subdomains, landing pages, hosted pages, help content, login pages, and customer portal pages operated for Chronis (collectively, the "Website").

The Website is made available in connection with the Chronis platform, software, content, and related services. Aionis Holdings LLC owns the intellectual property rights in Chronis and handles software development and related platform ownership matters. Kore Logics LLC handles sales, onboarding, implementation support, billing administration, and customer support for Chronis. In these Terms of Use, Aionis Holdings LLC and Kore Logics LLC may be referred to together as the "Chronis Parties," except where these Terms of Use assign responsibilities specifically.

Please read these Terms of Use carefully before using the Website. By accessing or using any part of the Website, you accept and agree to be bound by these Terms of Use. If you do not agree, do not access or use the Website.

Cookies and Tracking Technologies

The Website may use cookies, pixels, web beacons, analytics tools, and similar tracking technologies to enhance functionality, security, performance, and user experience. By using the Website, you acknowledge and agree that these technologies may be used as described in the applicable Chronis privacy notice or cookie notice, if any. Ownership and Intellectual Property Rights

The Website and all text, software, interfaces, page layouts, designs, graphics, images, video, audio, icons, branding, logos, documentation, downloadable materials, customer portal content, and the design, selection, and arrangement of the foregoing (collectively, "Content") are owned by, licensed to, or controlled by Aionis Holdings LLC or its licensors and are protected by copyright, trademark, trade secret, and other applicable laws.

The names Chronis, Aionis Holdings LLC, Kore Logics LLC, and all related product names, service names, logos, designs, and slogans used on or in connection with the Website are trademarks, service marks, or other protected identifiers of the applicable owner or licensor. Except as expressly permitted in writing, you may not use any such marks without prior written permission.

No right, title, or interest in or to the Website or any Content is transferred to you. All rights not expressly granted are reserved.

Limited License Grant; Revocation of License

Subject to these Terms of Use, Aionis Holdings LLC grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Website solely for your internal business use, informational use, and lawful interaction with Chronis offerings.

The Chronis Parties reserve the right to withdraw, modify, suspend, restrict, or discontinue the Website, or any portion of the Website or Content, at any time in their sole discretion, with or without notice, and without liability except as required by law or an applicable written agreement. The Chronis Parties may also revoke the license granted under these Terms of Use or deny future access to the Website if they reasonably believe you have violated these Terms of Use, applicable law, or any other agreement governing your relationship with Chronis.

Restrictions on Use

You are not permitted to do any of the following while using the Website:

(a) conduct or promote any unlawful, fraudulent, abusive, or harmful activity;
(b) upload, submit, or transmit any virus, worm, Trojan horse, malware, malicious code, or other harmful material;
(c) attempt to reverse engineer, decompile, disassemble, decode, or otherwise derive non-public functionality from the Website except to the extent such restriction is prohibited by applicable law;
(d) attempt to gain access to secured, non-public, or password-protected portions of the Website without authorization;

The Website may contain links to third-party websites, tools, platforms, social media pages, videos, or other services not controlled by the Chronis Parties (collectively, "Third-Party Sites"). Any such links are provided for convenience only. The Chronis Parties do not endorse, control, or assume responsibility for any Third-Party Sites or for any content, materials, privacy practices, terms, or actions associated with them.

Your use of Third-Party Sites is at your own risk and may be subject to separate terms imposed by the applicable provider.

Links from Third-Party Sites

Unauthorized linking to the Website, including framing or mirroring any portion of the Website without written permission, is prohibited. The Chronis Parties reserve the right to disable unauthorized links and to pursue any rights or remedies available under applicable law.

Export Control Laws

You may not access, use, export, or re-export the Website or any Content in violation of applicable export control, sanctions, or import laws. You represent and warrant that you are not located in, organized in, or ordinarily resident in any jurisdiction subject to comprehensive trade sanctions applicable to the Website and that you are not identified on any applicable restricted-party list.

Inquiries, Demo Requests, Support Requests, and Feedback

The Website may allow you to submit contact requests, demo requests, support inquiries, onboarding information, account-related information, messages, files, ideas, suggestions, enhancement requests, or other communications to the Chronis Parties (collectively, "Submissions").

You retain ownership of any Submissions you lawfully provide, but you grant the Chronis Parties a worldwide, non-exclusive, royalty-free, fully paid-up right and license to host, store, reproduce, transmit, process, modify, adapt, and otherwise use such Submissions as reasonably necessary to receive, review, respond to, administer, support, improve, secure, market, and provide the Website, Chronis, and related services.

If you provide suggestions, ideas, enhancement requests, recommendations, or other feedback relating to the Website, Content, or Chronis offerings ("Feedback"), the Chronis Parties may use such Feedback without restriction, attribution, or compensation, and you hereby assign, and agree to assign, all right, title, and interest in and to such Feedback to Aionis Holdings LLC to the extent permitted by law.

You represent and warrant that:

(a) you own or control all rights necessary to submit the Submissions;
(b) your Submissions do not violate these Terms of Use, any applicable law, or any third-party rights; and
(c) any personal data or third-party materials included in your Submissions have been provided with all required permissions and notices.

The Chronis Parties are not obligated to review or respond to any Submission and may refuse, delete, or disregard Submissions that they reasonably believe create risk, violate law, or are inconsistent with these Terms of Use.

Password-Protected Areas and Account Credentials

Certain areas of the Website, including customer portal and account access areas, may be password protected or otherwise restricted. Access to those areas may require valid credentials, an invitation, a subscription, or other authorization and may also be subject to separate agreements such as a EULA, subscription agreement, order form, or implementation documents.

If you receive credentials for any restricted area of the Website, you are responsible for maintaining their confidentiality and for all activity that occurs under your account, whether or not authorized by you. You must promptly notify the applicable Chronis Party of any suspected unauthorized access, credential compromise, or misuse.
